Earlier this month, we announced HD Supply Holdings, Inc. entered a definitive agreement to sell the HD Supply Construction and Industrial business to an affiliate of Clayton, Dubilier & Rice. Today, we are very excited to share our new logo:

Over the next few weeks, you will begin to see the new brand on our marketing materials, branch buildings, teams’ apparel, private labeled products and other communications. We are thrilled to begin this transition!

Changes to your account (i.e. payment processes, new W-9 forms, etc.) will be communicated as we approach separation. We expect the transaction to close in October 2020.

To Our Valued White Cap Customers,

We have exciting news to share with you today.

This morning, Tuesday, August 11, our parent company, HD Supply Holdings, Inc. announced that it has entered into a definitive agreement to sell the HD Supply Construction and Industrial business – consisting of White Cap, Brafasco in Canada, and Home Improvement Solutions in California – holistically known as White Cap, to an affiliate of Clayton, Dubilier & Rice (CD&R), a leading global private investment firm.

Additionally, CD&R announced its intent to obtain regulatory approval to combine White Cap with Construction Supply Group (CSG), in partnership with The Sterling Group, the majority owner of CSG.

We are excited and committed to this intended combination, when regulatory approval is obtained, to provide a broader product offering with more convenience, and drive an even stronger level of service for our customers.

In the meantime, while CD&R gains regulatory approval and works toward closing with HD Supply and The Sterling Group, both White Cap and CSG will operate as standalone companies. We expect the transaction to close in October 2020.
